Terms and conditions of sale
Article 1 - Purpose and scope
1.1 The purpose of these General Terms and Conditions of Sale (hereinafter "GTCS") is to define the terms and conditions under which [Company Name] (hereinafter "the Provider") offers, via its website, the rental of event spaces and the provision of catering services (hereinafter "the Services").
1.2 Any order for Services placed with the Service Provider or any contract signed with the Service Provider implies full acceptance of these General Terms and Conditions, to the exclusion of any other document.
1.3 These GTC are accessible at all times on the Provider's website. They may be modified at any time by the Provider. The terms and conditions applicable are those in force at the time of reservation or order by the Customer.
Article 2 - Presentation of Services and Organization of the Event
2.1 Description of Services:
The Service Provider provides the Customer with reception areas (rooms, lounges, etc.) and catering services, in accordance with the information and offers presented on the website or included in any personalized quotation/contract.
2.2 Event planning:
Details of the event (number of guests, choice of catering options, room configuration, etc.) are included in the quotation or pro forma invoice validated by the customer.
Any subsequent modification (increase or decrease in the number of guests, change of menu, timetable, etc.) must be approved in writing by the Service Provider.
If the Customer does not inform the Service Provider of a decrease in the number of guests at least 48 hours before the event, the invoicing will remain based on the number initially agreed.
If guests are added at the last minute, the Service Provider will endeavor to accommodate them, but does not guarantee the availability of the same menu. In such cases, additional charges may be invoiced.
2.3 Rental times:
Spaces are rented for defined time slots (half-day, full day, evening, etc.), as specified in the quote or invoice.
The standard hours of availability of the rooms and the presence of the service personnel are mentioned there.
Any extension of the hours may result in additional invoicing, the details of which are given in the estimate or in these GTC.
Article 3 - Rental rates and terms
3.1 Rates:
Rates for space rental and catering services are indicated on the quotation or pro forma invoice. Rates are exclusive of tax, unless otherwise stated, and the applicable VAT is specified on the contractual documents.
3.2 Price content:
The rental price includes only the use of the space for the duration indicated. Catering and other services (service personnel, special options, etc.) are invoiced separately or included in a package detailed in the quote.
3.3 Rental duration:
By default, rental is offered either on a half-day basis (for example, from 06:00 to 15:00 or from 18:00 to 00:00), or on a full-day basis (from 06:00 to 00:00).
The times included for service personnel are specified in the offer (e.g. from 09:00 to 15:00 and from 18:00 to 23:00). Requests for extensions will be subject to additional charges.
Article 4 - Terms of payment
4.1 Payment schedule:
Unless otherwise specified on the quotation, payment terms are as follows:
25% of the total amount upon signature of the contract or validation of the order (deposit);
50% of the total amount 15 days before the event date;
The remaining balance is due at the latest on the day of the event, or within 48 hours of the event by bank transfer (as agreed in writing with the Provider).
4.2 Late payment:
In the event of late payment, the Service Provider reserves the right to charge interest at the higher of the legal rate or the rate stipulated in the contractual documents.
4.3 Taxes:
All prices quoted are exclusive of VAT, unless otherwise stated. Applicable taxes, including VAT, are payable by the Customer and are added to the invoice in accordance with current legislation.
4.4 Disputes relating to payment:
In the event of a dispute relating to payment, the parties will endeavour to find an amicable solution. Failing this, the dispute will be submitted to the jurisdiction mentioned in Article 9 of these GTC.
Article 5 - Obligations of the Service Provider and the Customer
5.1 Obligations of the Service Provider:
Provide the rented spaces and catering services in accordance with the description on the quotation or pro forma invoice;
Provide service personnel during the agreed time slot, within the limits of the conditions described above;
Comply with current health and safety standards.
5.2 Obligations of the Customer:
To respect the organization of the event as defined when the contract is signed (times, number of guests, etc.);
To pay the sums due within the agreed deadlines;
To respect the premises, the equipment provided and the staff. Any damage caused by the Customer or his guests will be subject to additional invoicing.
Article 6 - Cancellation policy
6.1 Compensation scale:
Any cancellation of the reservation by the Customer, or any withdrawal leading to the termination of the contract, will give rise to the payment of compensation calculated as follows (percentage applied to the last pro forma estimate/invoice sent):

The above percentages are calculated exclusive of VAT. VAT at the current rate will be added to the amount of compensation.
6.2 Calculation of lead times:
Lead times are expressed from "date to date" (e.g. the calculation for one month runs until the day before the same date in the following month).
The day of the event is included in the lead time calculation.
Saturdays, Sundays and public holidays are included in the calculation.
Article 7 - General Terms and Conditions
7.1 Condition of the premises:
The Customer acknowledges that the rented premises are in good condition. The Customer shall have a reasonable period of time after the premises have been made available to report any malfunctions or pre-existing damage.
7.2 Return of the premises:
The Customer undertakes to leave the premises in their original condition (equipment put away, decorations dismantled, etc.). Failure to do so may result in additional charges.
7.3 Cleaning:
If the site is not properly tidied up at the end of the event (objects, brochures or equipment left on site), a flat-rate cleaning/evacuation fee of €500 excluding VAT may be charged.
7.4 Schedule overruns:
Any schedule overrun will give rise to an additional charge of €500 (excl. VAT) per hour started (unless otherwise specified in the contract or estimate).
Article 8 - Liability
8.1 The Service Provider's liability:
The Service Provider is bound by a best-efforts obligation to provide the Services. It shall not be held liable for any damage resulting from the Customer's fault or from any unforeseeable and insurmountable external event (force majeure).
8.2 Customer's liability:
The Customer is liable for any damage caused by its guests, its employees or itself to the material, equipment and personnel of the Service Provider, as well as to the premises made available.
8.3 Insurance:
It is the customer's responsibility to take out the necessary insurance to cover the risks inherent in organizing an event (civil liability, possible damage, etc.).
Article 9 - Applicable Law and Jurisdiction
9.1 These General Terms and Conditions are governed by the law in force at the Service Provider's registered office.
9.2 In the event of a dispute and in the absence of an amicable settlement, the courts of the jurisdiction of the Provider's registered office shall have jurisdiction, unless otherwise provided by mandatory law.
Article 10 - Acceptance and validity
10.1 By placing an order on the Service Provider's website or signing a quotation/contract, the Customer implies full acceptance of these GTS.
10.2 Should any provision of these GTC be declared invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
10.3 These GTC may be revised at any time by the Service Provider. Any version updated on the website replaces the previous version and is immediately applicable to any new order or reservation.
